 Types of Companies in Nepal

The Companies Act 2063 (2006) allows you to register various types of companies:

1. Private Limited Company (Pvt. Ltd.)

  • Most common for small and medium businesses.

  • Requires 1 to 101 shareholders.

  • Cannot sell shares to the public.

2. Public Limited Company (Ltd.)

  • Suitable for large-scale businesses.

  • Requires at least 7 shareholders .

  • Can raise funds from the public.

3. Non-Profit Company (NGO/Not-for-Profit)

  • Formed for charitable, religious, or social purposes.

  • Cannot distribute profits to members.

 

 Documents Required for Company Registration

Here are the documents needed to register a Private Limited Company in Nepal:

  1. Application form (in prescribed format)

  2. Memorandum of Association (MOA)

  3. Articles of Association (AOA)

  4. Copy of citizenship of all promoters

For foreign investors: You’ll also need a passport copy, investment commitment letter, and approval from the Department of Industry.

 

 Step-by-Step Company Registration Process

Step 1: Name Reservation

  • Apply online at OCR Nepal’s portal.

  • Make sure the name is unique and not already registered.

  • Receive Name Approval Online.

Step 2: Prepare Legal Documents

  • Draft and notarize the MOA and AOA.

  • Collect citizenship, NID and other documents.

Step 3: Submit Application

  • Submit all required documents to the Office of the Company Registrar (OCR) in online .

Step 4: Get Registration Certificate

  • If everything is in order, you will receive the Certificate of Incorporation with your Company Registration Number after paying applicable Fees.

Step 5: Apply for PAN/VAT

  • Visit Inland Revenue Office (Tax Office) with your registration certificate and apply for PAN/VAT.

  • Name Approval: 1-2 working days

  • Company Registration: 3-5 working days
